Invensys to Acquire Baan and set up new Software and Systems Division

Invensys plc and Baan N.V. of The Netherlands today announced the terms of a recommended cash offer to acquire the entire issued capital of Baan for Euro 2.85 per share - E760 million ($712 million).  The enterprise value is approximately $800 million.
